Parties: John Rigby & Company (John Rigby), Gran Colombia Textiles Co (Textiles Co), Banco de Desarollo de Guayaquil (BDG)

CONTRACTUAL TERMS
THIS CONTRACT SHALL BE GOVERNED BY ENGLISH LAW POST ACT OF UNION, AND IN THE COURTS OF THE UNITED KINGDOM. SCOTTISH COURTS MAY NOT TRY MATTERS ARISING FROM THIS CONTRACT.
John Rigby and the BDG shall equally finance the construction of an armaments factory to produce armaments and cannons. The finance shall be done in the currency and coinage of the United Kingdom.
John Rigby’s stake in the company shall be unassailable for a period of fifty years without voluntary sale, and John Rigby shall be compensated should their position be assailed by government or non-government action, to the tune of the sum owed.
John Rigby shall provide training to natives with regards to the construction of armaments and the creation of relevant equipment. This shall not amount to the licensing of any weapons or intellectual property thereof, and shall not amount to an approval of any licensing of weaponry.
John Rigby shall have exclusive foreign right to produce armaments and similar within Guayaquil.
All armaments produced through this arrangement shall be stored and sold at the will of the Joint Venture created for the purposes of creating these arms, and extracted profits shall be entitled jointly to all participatory parties in accordance with the ownership split.
No funds arising out of this agreement should be used for governmental financing purposes or used for governmental purposes.
THIS IS A DRAFT CONTRACT AND WILL REQUIRE THE SIGNATURES OF THE LEADERS OF THE BANCO DE DESRALLO DE GUAYAQIL.
